IMDA Agentic AI Framework v1.5 Aligned

Terms of Service (TOS)

Effective Date: July 23, 2026 | Version 2.0 | Legal Inquiries: legal@letschat.asia

💡 Executive Summary & Key Takeaways

  • SaaS Service Model: Let's Chat provides multi-tenant AI Chatbots, domain crawling, and Retrieval-Augmented Generation (RAG) infrastructure.
  • PDPA Roles: Customers are Data Controllers under the Singapore PDPA; Let's Chat operates as a Data Processor.
  • Scope of Agency: Chatbots lack independent legal personality. AI outputs cannot bind organizations to legal contracts without explicit Human-in-the-Loop (HITL) ratification.
  • Governance Alignment: Designed under Singapore's IMDA Model AI Governance Framework for Agentic AI (v1.5).

1. Acceptance of Terms

By registering an account, embedding the Let's Chat widget, or invoking platform APIs, you ("Customer" or "User") agree to these Terms of Service. If you do not accept these terms, you must cease using the platform immediately.

2. Service Architecture & Model AI Governance

Let's Chat incorporates key governance guardrails mandated by Singapore's IMDA Model AI Governance Framework for Agentic AI (v1.5):

  • Domain-Scoped Retrieval: RAG content indexing is strictly bounded to customer-verified domains (`KnowledgeSource`).
  • Human-in-the-Loop (HITL): Actions modifying state (e.g. sales submissions, appointments) require explicit human button approval cards.
  • Resilience Circuit Breaker: Operates a dual-LLM architecture with automated 60-second recovery failovers.

3. Legal Responsibility & Scope of Agency

In accordance with IMDA's Discussion Paper on Legal Responsibility for AI Agents (May 2026):

  • AI chatbots deployed on the platform possess no independent legal personality.
  • Chatbot outputs are informative and non-binding. They do not constitute legal contracts, warranties, or financial commitments without explicit human authorization.

4. Limitation of Liability

Let's Chat provides its services on an "as-is" basis. In no event shall aggregate liability exceed the subscription fees paid by the Customer in the 12 months prior to the event giving rise to liability.

5. Governing Law & Dispute Resolution

These terms are governed by the laws of the Republic of Singapore. Any disputes shall be submitted to binding arbitration under the rules of the Singapore International Arbitration Centre (SIAC).
